Billing Policy

This Billing Policy ("Policy") governs billing treatment, prepaid wallet functionality, resource consumption calculations, auto-renewal treatment, payment processing, wallet administration, suspension treatment, and related commercial matters applicable to use of the NexNodo platform and associated services.

This Policy forms part of and is incorporated into the applicable NexNodo Terms of Service, Cloud Service Agreement, Refund Policy, Marketplace Terms, Order Form, Enterprise Agreement, or equivalent customer agreement governing customer use of the NexNodo platform.

Capitalized terms not otherwise defined herein shall have the meanings assigned under the applicable customer agreement.

1. GENERAL BILLING MODEL

NexNodo operates a pay-as-you-go billing framework using a prepaid wallet model for applicable platform services.

Customers may purchase and use infrastructure resources, cloud services, GPU services, Kubernetes services, storage services, Marketplace services, AI infrastructure services, and equivalent offerings through a shared wallet balance maintained within the NexNodo platform.

Wallet balances may be consumed by one or more active resources, services, deployments, workloads, or equivalent operational activities associated with the Customer account.

Resource Activation and Commencement of Billing

Selection, checkout, purchase, or placement of a resource within the Customer's Resource Management interface does not, by itself, commence infrastructure usage billing.

A resource becomes billable only when the Customer initiates activation, provisioning, deployment, start, play, or an equivalent action that causes the applicable infrastructure capacity to be provisioned or allocated for Customer use ("Activation").

Billing for an applicable VPS instance, GPU instance, Kubernetes cluster, GPU Kubernetes cluster, or other usage-based infrastructure resource begins upon successful Activation and commencement of the applicable provisioned resource runtime.

Resources that have completed checkout but have not been Activated are non-billable placeholders within the Customer account. Such resources do not consume infrastructure capacity, do not consume Wallet balances, and are not subject to recurring or automatic renewal charges while they remain unactivated.

Where a Customer stops or deactivates an applicable usage-based resource through available NexNodo platform controls, billable runtime for that resource ceases when the platform successfully completes the applicable stop or deactivation action.

NexNodo may measure billable runtime using platform records, provisioning records, infrastructure telemetry, orchestration systems, resource status records, or equivalent commercially reasonable technical measurements.

Applicable billing treatment may vary depending upon:

  • selected billing duration;
  • resource type;
  • service category;
  • deployment model;
  • auto-renew configuration;
  • Marketplace activity;
  • commercial plan;
  • or equivalent commercial considerations.

2. BILLING DURATIONS

Where commercially applicable, Customers may select one or more billing durations during checkout.

Available duration options may include:

  • Hourly Billing (1–23 hours);
  • Daily Billing (24 hours);
  • Monthly Billing (30 calendar days unless otherwise specified).

Selected Runtime and Continued Usage

The billing duration or estimated runtime selected by the Customer during checkout determines the initial prepaid Wallet funding associated with the selected resource configuration. It does not constitute a fixed infrastructure reservation period, guaranteed resource term, or automatic resource termination time.

Once successfully provisioned, a resource continues to operate and consume Wallet funds according to its applicable usage rate regardless of the originally selected estimated runtime, for as long as sufficient Wallet funds remain available or payment continuity is otherwise maintained in accordance with this Policy.

Expiration of the originally selected estimated runtime does not automatically stop, suspend, or deprovision a running resource.

The selected billing duration governs the applicable commercial and renewal treatment associated with the resource or service; provided, however, that billing for usage-based infrastructure resources shall commence only upon Activation as described in this Policy.

Different resources within the same Customer account may operate under different billing durations.

Nothing herein obligates NexNodo to support identical duration options for all resource categories.

3. PREPAID WALLET MODEL

The NexNodo platform utilizes a shared prepaid wallet model.

Customers may fund wallet balances using supported payment methods, payment processors, subscription mechanisms, auto-top-up treatment, or equivalent commercial payment workflows designated by NexNodo from time to time.

Wallet balances may be used across multiple services including, where applicable:

  • VPS instances;
  • GPU infrastructure;
  • Kubernetes environments;
  • storage resources;
  • Marketplace deployments;
  • AI infrastructure services;
  • networking resources;
  • or equivalent offerings.

Consumption by one resource may reduce the remaining balance available to other resources operating within the same Customer account.

Wallet balances do not constitute bank deposits, escrow accounts, stored-value financial products, custodial accounts, investment products, or equivalent regulated financial instruments.

4. RESOURCE ACTIVATION, CONSUMPTION, AND DEPROVISIONING MODEL

Infrastructure usage billing is based upon actual provisioned runtime.

Selection, checkout, purchase, or appearance of a resource within the Customer's Resource Management interface does not, by itself, constitute provisioning, reservation of infrastructure capacity, or commencement of infrastructure usage billing.

A resource becomes billable only when the Customer initiates an activation, start, play, deployment, or equivalent action through the NexNodo platform and the applicable infrastructure resource is successfully provisioned or allocated for Customer use ("Activation").

Upon successful Activation, the applicable resource begins consuming the Customer's Wallet balance according to the applicable usage-based pricing displayed through the NexNodo platform.

Resources that have completed checkout but have not been Activated are maintained solely as non-billable configuration placeholders within the Customer account. Such placeholders:

  • do not consume infrastructure capacity;
  • do not reserve compute, GPU, memory, storage, networking, or other infrastructure capacity;
  • do not consume Wallet balances;
  • are not subject to infrastructure runtime charges; and
  • do not guarantee future infrastructure availability.

Customers acknowledge that infrastructure capacity is allocated on an availability basis at the time of Activation. NexNodo does not guarantee that infrastructure capacity associated with a previously selected, purchased, stopped, or unactivated resource configuration will remain available for subsequent Activation.

When a Customer initiates a Stop, Deactivate, or equivalent deprovisioning action, NexNodo will release the applicable infrastructure capacity upon successful completion of that action. Usage-based billing for the applicable resource ceases when deprovisioning is successfully completed.

Stopping or deactivating a provisioned infrastructure resource constitutes deprovisioning of that resource and results in permanent deletion of the associated infrastructure instance, including all data, workloads, operating system state, cluster state, configurations, deployment state, and other information stored within or associated with that provisioned resource, except for information expressly identified by NexNodo as separately persistent.

Released infrastructure capacity becomes available for allocation to other Customers. Accordingly, NexNodo does not guarantee that a stopped or deprovisioned resource can subsequently be reactivated or reprovisioned using the same infrastructure capacity, resource configuration, hardware, availability zone, or Data Center capacity.

Customers remain solely responsible for backing up or exporting all data and configurations they wish to preserve before stopping or deactivating a resource.

NexNodo may calculate billable runtime using platform records, provisioning records, infrastructure telemetry, orchestration systems, resource status records, or equivalent commercially reasonable technical measurements.

5. MONTHLY BILLING AND AUTOMATIC PAYMENT FOR ACTIVE RESOURCES

NexNodo infrastructure resources operate on a usage-based billing model under which charges accrue based on actual provisioned runtime.

For resources subject to monthly automatic payment treatment, only resources that are Activated, successfully provisioned, and actively consuming infrastructure capacity shall be included in the applicable automatic billing calculation.

Resources that have completed checkout and appear within the Customer's Resource Management interface but have not been Activated or provisioned shall not be subject to infrastructure usage charges, recurring infrastructure charges, or automatic monthly payment treatment. Such resources constitute non-billable configuration placeholders only.

At the applicable monthly billing interval, NexNodo may automatically charge the Customer's stored payment method, fund the Customer's Wallet, settle accrued usage, or otherwise collect amounts associated with eligible Activated and provisioned resources in accordance with the applicable pricing and billing configuration.

Automatic monthly payment treatment does not constitute a reservation of infrastructure capacity for resources that are unactivated, stopped, deprovisioned, or otherwise not actively consuming infrastructure capacity.

Where a Customer stops or deactivates an applicable provisioned resource, usage-based billing for that resource ceases upon successful deprovisioning. The applicable infrastructure capacity is then released and may immediately become available for allocation to other Customers.

A stopped or deprovisioned resource shall not be included in subsequent automatic monthly infrastructure billing unless and until the Customer successfully Activates and provisions infrastructure for that resource again.

Any resource configuration remaining visible within Resource Management following deprovisioning constitutes a non-billable configuration placeholder only and does not represent an existing virtual machine, Kubernetes cluster, reserved infrastructure resource, storage allocation, or other provisioned infrastructure.

Future Activation or reprovisioning of any placeholder or previously deprovisioned resource is subject to infrastructure availability at the time of the requested Activation. NexNodo does not guarantee that the same infrastructure capacity, hardware configuration, GPU capacity, Data Center capacity, region, or equivalent resource will remain available.

Where automatic payment functionality is enabled for the Customer account, the Customer authorizes NexNodo to charge the applicable stored payment method for eligible billable usage in accordance with this Policy and the pricing presented through the NexNodo platform.

Customers may manage available automatic payment or billing settings through the NexNodo billing interface where such controls are made available.

6. WALLET MONITORING, AUTOMATIC FUNDING, AND PAYMENT METHODS

NexNodo may monitor the Customer's Wallet balance and estimated consumption rate based on the Customer's currently running resources.

Where NexNodo reasonably estimates, based on current usage, that the Customer's available Wallet balance may become insufficient within approximately twenty-four (24) hours, NexNodo may notify the Customer using the email address or other contact method associated with the Customer account.

Customers remain responsible for maintaining sufficient Wallet funds to support their running resources.

Where automatic payment or funding is enabled or otherwise authorized for the Customer account, NexNodo may attempt to charge the Customer's saved payment method when additional Wallet funds are required to maintain running resources.

The amount of an automatic funding transaction may be determined based on the Customer's currently running resources, applicable usage rates, anticipated usage, applicable monthly pricing or caps, Wallet balance, and other commercially reasonable billing factors.

Successful automatic funding shall be credited to the Customer's Wallet and may be consumed by any eligible running resources associated with that Wallet in accordance with this Policy.

If an automatic payment attempt is declined, rejected, reversed, unavailable, or otherwise unsuccessful, NexNodo may notify the Customer and provide an applicable grace period as described in Section 7.

Customers are responsible for maintaining valid and current payment information and sufficient funds or credit availability for authorized automatic payment transactions.

NexNodo does not guarantee that any automatic payment attempt will be successful and Customers remain ultimately responsible for maintaining sufficient Wallet funds for continued resource operation.

7. LOW BALANCE WARNINGS AND BILLING NOTIFICATIONS

NexNodo may provide commercially reasonable billing notifications relating to wallet balances, consumption status, billing thresholds, payment activity, renewal treatment, resource status, or equivalent operational matters.

Such notifications may include, where commercially applicable:

  • low balance warnings;
  • wallet depletion alerts;
  • auto-renew notices;
  • payment failure notices;
  • subscription notices;
  • resource risk notifications;
  • service interruption warnings;
  • or equivalent billing communications.

Notifications may be delivered through:

  • email;
  • dashboard notices;
  • platform notifications;
  • API notifications;
  • billing pages;
  • or equivalent communication channels designated by NexNodo.

Customers remain responsible for monitoring wallet balances, billing status, notification settings, and active resource consumption.

Failure to receive notifications does not eliminate Customer payment obligations or operational consequences associated with insufficient wallet balances.

8. INSUFFICIENT FUNDS, PAYMENT FAILURE, AND GRACE PERIOD

If the Customer's Wallet becomes insufficient to support continued consumption by running resources and NexNodo is unable to successfully collect additional authorized funds, NexNodo may permit affected resources to continue operating during a grace period of up to three (3) calendar days.

During the grace period, applicable usage charges may continue to accrue and the Customer remains responsible for all charges incurred by running resources.

NexNodo may send payment reminders or warnings during the grace period and may make additional commercially reasonable attempts to collect authorized payment.

The availability of a grace period does not constitute an extension of credit, guaranteed financing arrangement, or waiver of amounts owed to NexNodo.

Customers may restore sufficient Wallet funding during the applicable grace period using available payment methods.

If sufficient funds cannot be successfully collected or added before expiration of the applicable grace period, NexNodo may stop, deprovision, suspend, terminate, or otherwise disable affected resources.

Customers acknowledge that deprovisioning of applicable infrastructure resources results in permanent and irreversible deletion of associated infrastructure, data, workloads, operating system or cluster state, applications, configurations, and other information associated with the deprovisioned resource, except for information expressly identified by NexNodo as separately persistent.

Customers are solely responsible for maintaining backups and ensuring that important data and configurations are preserved before Wallet funds become insufficient or the applicable grace period expires.

9. RESOURCE SUSPENSION, TERMINATION, AND DELETION

Where wallet balances become insufficient, payment failures occur, auto-renewal fails, Auto Top-Up fails, grace treatment expires, negative balance thresholds are exceeded, fraud concerns arise, or equivalent billing risk events occur, NexNodo may suspend, restrict, terminate, stop, disable, or delete applicable resources.

Such actions may affect:

  • VPS instances;
  • GPU infrastructure;
  • Kubernetes clusters;
  • storage resources;
  • Marketplace deployments;
  • AI infrastructure services;
  • networking services;
  • and equivalent operational resources.

Customers acknowledge and agree that Customer-initiated Stop, Deactivate, Delete, Terminate, or equivalent deprovisioning actions result in permanent deprovisioning and deletion of the applicable infrastructure resource and associated data. Other suspension, restriction, billing enforcement, or operational actions may also result in:

  • immediate and irreversible deletion of data, workloads, storage contents, cluster state, configuration state, deployment artifacts, resource metadata, snapshots, volumes, or equivalent operational assets.

Stopping, terminating, or deleting infrastructure resources may therefore result in permanent data loss.

Customers remain solely responsible for:

  • backups;
  • export procedures;
  • data retention planning;
  • disaster recovery preparation;
  • and preservation of operational information associated with Customer resources.

NexNodo shall not be responsible for data loss, workload loss, configuration loss, storage loss, or equivalent operational consequences arising from wallet exhaustion, payment failure, stop actions, deletion actions, billing enforcement actions, or equivalent commercially permitted operational measures.

10. TAXES, PAYMENT PROCESSING, AND BILLING ADMINISTRATION

Unless otherwise expressly stated, pricing displayed through the NexNodo platform is exclusive of applicable:

  • taxes;
  • duties;
  • VAT;
  • GST;
  • sales taxes;
  • governmental assessments;
  • withholding obligations;
  • payment processor charges;
  • or equivalent fiscal obligations.

Customers remain responsible for taxes associated with their purchases, wallet funding activities, subscriptions, infrastructure usage, Marketplace activities, or equivalent commercial activity except for taxes imposed solely upon NexNodo's net income.

Payments, wallet funding transactions, refunds, auto-renewal charges, Auto Top-Up charges, and equivalent payment activities may be processed through Stripe or equivalent payment processors designated by NexNodo from time to time.

NexNodo may reasonably perform:

  • payment validation;
  • fraud screening;
  • payment method verification;
  • sanctions screening;
  • risk review;
  • commercial reconciliation;
  • or equivalent payment administration activities.

11. COMMERCIAL ADJUSTMENTS AND BILLING CORRECTIONS

NexNodo reserves the right to investigate, review, validate, reconcile, and correct billing outcomes where commercially reasonable.

Billing adjustments may arise from:

  • measurement anomalies;
  • runtime discrepancies;
  • payment processor events;
  • technical errors;
  • billing configuration errors;
  • refund treatment;
  • operational reconciliation activities;
  • commercial corrections;
  • or equivalent operational circumstances.

Where commercially appropriate, NexNodo may:

  • correct wallet balances;
  • adjust billing calculations;
  • apply commercial corrections;
  • process credits;
  • process refunds;
  • reverse erroneous credits;
  • or implement equivalent commercially reasonable remediation measures.

12. RELATIONSHIP TO OTHER DOCUMENTS

This Billing Policy operates together with:

  • Terms of Service;
  • Refund Policy;
  • Customer Service Level Agreement;
  • Marketplace Terms;
  • Third-Party Application Terms;
  • Open Source Software Policy;
  • Acceptable Use Policy;
  • AI Acceptable Use Policy;
  • and equivalent NexNodo policies.

To the extent of direct conflict between this Policy and an executed Enterprise Agreement, Order Form, negotiated commercial arrangement, or equivalent written agreement, the applicable negotiated arrangement shall govern to the extent of such conflict.

13. POLICY MODIFICATIONS

NexNodo may modify this Billing Policy from time to time.

Material modifications may become effective upon:

  • publication;
  • dashboard notice;
  • billing page notice;
  • customer notification;
  • checkout notice;
  • or equivalent commercially reasonable communication mechanisms.

Continued use of the Services following policy effectiveness constitutes acceptance of the revised Policy to the extent permitted under the applicable customer agreement.
