Billing Policy

This Billing Policy ("Policy") governs pricing treatment, billing practices, payment processing, monthly prepaid charging, infrastructure consumption measurement, refunds, billing corrections, payment disputes, and related commercial matters applicable to use of the NexNodo platform and associated services.
This Policy forms part of and is incorporated into the applicable NexNodo Terms of Service, Cloud Service Agreement, Refund Policy, Order Form, Enterprise Agreement, Marketplace Terms, or equivalent customer agreement governing customer use of the NexNodo platform.
Capitalized terms not otherwise defined herein shall have the meanings assigned under the applicable customer agreement.
1. BILLING FRAMEWORK
NexNodo operates a prepaid infrastructure billing model for applicable cloud services, compute resources, GPU infrastructure, Kubernetes environments, storage services, AI infrastructure services, Marketplace deployments, MCP-related services, and related offerings available through the NexNodo ecosystem.
Unless expressly stated otherwise, applicable services may be purchased on a prepaid monthly basis.
Customers acknowledge that use of the NexNodo platform may involve immediate infrastructure allocation, provisioning preparation, orchestration activities, deployment actions, capacity reservation, resource commitment, and operational cost exposure associated with underlying infrastructure providers.
Accordingly, NexNodo may require payment prior to activation, provisioning, deployment, or continued operation of applicable services.
Billing treatment may vary depending upon:
- service category;
- resource model;
- pricing framework;
- deployment status;
- infrastructure provider treatment;
- service duration;
- processor requirements;
- commercial arrangements;
- or equivalent operational considerations.
2. MONTHLY PREPAID CHECKOUT MODEL
Customers may purchase infrastructure resources, cloud services, AI infrastructure services, Kubernetes environments, GPU resources, storage services, Marketplace deployments, or equivalent offerings through the NexNodo platform.
At checkout, NexNodo may charge the full estimated monthly amount associated with selected services, infrastructure resources, subscriptions, reserved resources, deployments, or equivalent purchased offerings.
Applicable monthly charges may reflect factors including:
- resource configuration;
- resource quantity;
- hardware selection;
- geographic deployment region;
- GPU configuration;
- storage allocation;
- service tier;
- deployment model;
- or equivalent pricing variables.
Successful payment authorization may be required before NexNodo initiates provisioning, deployment, activation, infrastructure reservation, service launch, or equivalent operational actions.
Unless expressly stated otherwise, charges apply to the applicable billing period selected during checkout.
3. INFRASTRUCTURE CONSUMPTION MEASUREMENT
NexNodo measures infrastructure consumption using operational telemetry, orchestration metadata, provisioning records, deployment events, infrastructure runtime measurements, platform activity records, and equivalent commercially reasonable technical measurement systems.
Usage measurement may consider, where applicable:
- provisioning timestamps;
- deployment timestamps;
- activation timestamps;
- runtime duration;
- termination timestamps;
- resource allocation status;
- infrastructure reservation periods;
- service lifecycle events;
- or equivalent operational records.
Infrastructure consumption calculations performed by NexNodo billing systems shall be deemed commercially reasonable absent manifest technical error, fraud, or demonstrable calculation failure.
Customers acknowledge that infrastructure measurement methodologies may evolve as the NexNodo platform, billing systems, infrastructure orchestration systems, and operational framework develop.
4. HOURLY BILLING INCREMENTS AND ROUNDING TREATMENT
For services subject to runtime-based monthly prepaid treatment, NexNodo may calculate billable consumption using hourly billing increments.
Unless expressly stated otherwise within applicable pricing materials, service descriptions, enterprise agreements, or commercial arrangements, partial runtime periods entering a new billing hour may be rounded upward to the next full hour for billing, reconciliation, termination calculations, refund calculations, or equivalent commercial treatment.
Illustrative examples may include:
- 1 hour 00 minutes → 1 billable hour;
- 1 hour 15 minutes → 2 billable hours;
- 2 hours 01 minutes → 3 billable hours.
Customers acknowledge and agree that hourly rounding treatment may apply to:
- compute services;
- GPU infrastructure;
- Kubernetes environments;
- storage services;
- AI infrastructure services;
- Marketplace-related infrastructure deployments;
- reserved infrastructure services;
- or substantially equivalent offerings.
Nothing herein obligates NexNodo to apply second-based, minute-based, or exact fractional-hour billing treatment unless expressly stated otherwise.
5. EARLY TERMINATION AND RUNTIME CALCULATION
Where a Customer terminates, deletes, suspends, deactivates, cancels, or otherwise stops using an eligible monthly prepaid service prior to expiration of the applicable billing period, NexNodo may calculate actual infrastructure consumption based upon measured runtime duration.
Runtime calculations may consider:
- deployment initiation;
- activation timing;
- resource allocation status;
- termination timing;
- billable hourly increments;
- hourly rounding treatment;
- resource reservation effects;
- or equivalent commercially reasonable operational measurements.
Following calculation of applicable consumed billable hours, NexNodo may determine whether unused prepaid runtime remains eligible for refund treatment pursuant to the NexNodo Refund Policy.
Nothing in this Section guarantees refund eligibility where refund limitations, fraud review outcomes, policy violations, sanctions restrictions, failed payments, operational limitations, reserved capacity treatment, or equivalent commercial considerations apply.
6. PAYMENT PROCESSING
Payments may be processed through Stripe, payment gateways, acquiring institutions, payment processors, banking partners, or equivalent third-party payment infrastructure designated by NexNodo from time to time.
Customers authorize NexNodo and its designated payment providers to:
- process charges;
- capture payments;
- validate payment methods;
- perform fraud screening;
- conduct billing adjustments;
- process refunds;
- or implement equivalent commercially reasonable payment operations.
Customers remain responsible for maintaining valid payment methods, accurate billing information, applicable tax information, and sufficient authorization necessary to support successful transaction processing.
Failed payment authorizations, processor failures, declined transactions, expired payment methods, fraud review restrictions, sanctions screening outcomes, banking restrictions, or equivalent payment issues may result in:
- checkout failure;
- deployment delay;
- service restriction;
- service suspension;
- resource termination;
- or equivalent operational consequences.
7. TAXES, FEES, AND PAYMENT OBLIGATIONS
Unless expressly stated otherwise, pricing displayed through the NexNodo platform is exclusive of applicable taxes, duties, levies, governmental assessments, withholding obligations, transaction fees, payment processor fees, value-added taxes, sales taxes, use taxes, GST obligations, or equivalent governmental charges.
Customers remain responsible for applicable taxes associated with their purchases, use of Services, infrastructure consumption, subscriptions, Marketplace usage, or equivalent commercial activity except for taxes based solely upon NexNodo's net income.
NexNodo may collect, calculate, estimate, pass through, or remit applicable taxes where commercially reasonable or legally required.
Customers remain responsible for providing accurate billing addresses, tax information, tax registrations, exemption documentation, VAT identifiers, or equivalent commercial information necessary to support tax treatment.
8. BILLING CORRECTIONS AND OPERATIONAL ADJUSTMENTS
NexNodo reserves the right to investigate, review, validate, reconcile, correct, or adjust billing outcomes where commercially reasonable.
Billing corrections may arise from:
- technical measurement anomalies;
- deployment failures;
- infrastructure reporting inconsistencies;
- payment processor issues;
- pricing configuration errors;
- operational reconciliation events;
- commercial adjustments;
- fraud review outcomes;
- or equivalent operational circumstances.
Where NexNodo determines that a material billing discrepancy exists, NexNodo may, in its reasonable discretion:
- issue billing adjustments;
- correct invoices;
- apply service credits;
- process partial refunds;
- process full refunds;
- recalculate usage treatment;
- or implement equivalent commercially reasonable remediation measures.
Nothing in this Section obligates NexNodo to provide billing relief where discrepancies arise from customer misconfiguration, customer-controlled environments, unsupported deployments, customer operational decisions, or equivalent customer-attributable circumstances.
9. AUTOMATED REFUND PROCESSING
Where eligible refund treatment applies under the applicable NexNodo Refund Policy, NexNodo billing systems may calculate refund amounts automatically based upon commercially reasonable runtime calculations, hourly measurement treatment, rounding methodology, service status, payment records, and operational reconciliation processes.
Approved refunds may be processed automatically following eligible service termination, resource deletion, cancellation events, operational reconciliation, or equivalent billing events.
Refunds may be executed through Stripe or equivalent payment processors designated by NexNodo from time to time.
Where commercially feasible, approved refunds may be returned using the original payment method associated with the applicable transaction.
Nothing herein guarantees immediate refund completion, as refund timing may depend upon:
- payment processor treatment;
- banking systems;
- card issuer processing;
- fraud review;
- payment network timing;
- sanctions screening;
- or equivalent external operational factors.
Further refund eligibility, limitations, exclusions, and treatment remain governed by the NexNodo Refund Policy.
10. FAILED PAYMENTS, PAYMENT DISPUTES, AND CHARGEBACKS
Customers may not improperly reverse charges, initiate abusive chargebacks, submit fraudulent payment disputes, evade payment obligations, circumvent billing systems, or otherwise interfere with commercially reasonable payment operations.
Where payment disputes, reversals, chargebacks, processor investigations, fraud reviews, sanctions screening outcomes, payment failures, banking restrictions, or equivalent payment issues arise, NexNodo may, in its reasonable discretion:
- delay provisioning;
- restrict platform functionality;
- suspend services;
- terminate resources;
- disable deployments;
- restrict Marketplace access;
- require additional verification;
- require alternative payment methods;
- or implement equivalent commercially reasonable risk mitigation measures.
Customers remain responsible for legitimate charges associated with Services used, infrastructure consumed, resources allocated, or services provisioned through the NexNodo ecosystem.
NexNodo reserves the right to contest chargebacks, provide operational evidence, submit infrastructure usage records, present billing calculations, or otherwise defend commercially valid transactions through applicable payment processors or financial institutions.
11. SUSPENSION AND RESOURCE MANAGEMENT RIGHTS
NexNodo may suspend, restrict, terminate, limit, or refuse Services where reasonably necessary to address:
- failed payments;
- payment authorization failures;
- fraud concerns;
- chargeback exposure;
- sanctions restrictions;
- export control obligations;
- security risks;
- operational integrity concerns;
- policy violations;
- or equivalent commercial, operational, legal, or security considerations.
Infrastructure resources, Marketplace deployments, GPU services, Kubernetes environments, AI infrastructure services, MCP-related services, storage resources, or equivalent offerings may be suspended or terminated where commercially necessary to protect NexNodo, participating infrastructure providers, customers, partners, payment systems, or platform integrity.
Nothing herein limits rights available to NexNodo under the applicable Terms of Service, Acceptable Use Policy, Refund Policy, or equivalent NexNodo legal framework.
12. RELATIONSHIP TO OTHER DOCUMENTS
This Billing Policy operates together with:
- Terms of Service;
- Refund Policy;
- Customer Service Level Agreement;
- Marketplace Terms;
- Third-Party Application Terms;
- Open Source Software Policy;
- MCP / Connector Publishing Terms;
- Acceptable Use Policy;
- and equivalent NexNodo policies.
To the extent of direct conflict between this Policy and an executed Enterprise Agreement, Order Form, negotiated commercial schedule, or equivalent written commercial arrangement, the applicable negotiated arrangement shall govern to the extent of such conflict.
Except as expressly modified herein, the applicable customer agreement remains in full force and effect.
13. POLICY MODIFICATIONS
NexNodo may modify this Billing Policy from time to time.
Material modifications may become effective upon publication, customer notification, dashboard notice, platform publication, checkout notice, or equivalent commercially reasonable communication mechanisms implemented by NexNodo.
Continued use of the Services following policy effectiveness constitutes acceptance of the revised Policy to the extent permitted under the applicable customer agreement.
