This Privacy Policy ("Privacy Policy") describes how NexNodo Inc., a Delaware corporation ("NexNodo", "we", "our", or "us"), collects, uses, processes, stores, shares, and protects Personal Information in connection with the use of the NexNodo platform, website, marketplace, APIs, infrastructure orchestration services, cloud services, AI infrastructure services, and related products and services (collectively, the "Services").
This Privacy Policy applies to visitors of our website, customers, marketplace vendors, infrastructure partners, applicants, contractors, and other individuals who interact with NexNodo in connection with the Services.
By accessing or using the Services, you acknowledge that you have read and understood this Privacy Policy.
1. Scope of this Privacy Policy
NexNodo operates as a distributed cloud infrastructure orchestration platform and marketplace that enables customers to provision compute infrastructure, deploy Kubernetes clusters, consume GPU infrastructure, deploy AI-related workloads, access third-party applications, and provision services from independent infrastructure providers and marketplace vendors.
As part of providing the Services, NexNodo may process Personal Information relating to account holders, platform users, support contacts, billing contacts, marketplace vendors, infrastructure providers, and other individuals interacting with the Services.
This Privacy Policy does not generally apply to Customer Workloads, customer-hosted applications, customer-managed databases, AI models, prompts, datasets, or content processed by customers through infrastructure provisioned using the Services. In such cases, NexNodo generally acts as a processor or infrastructure orchestration provider on behalf of the customer.
Customers remain responsible for ensuring that their own use of the Services complies with applicable privacy, data protection, AI, export control, and cybersecurity laws and regulations.
2. Information We Collect
NexNodo may collect Personal Information directly from users, automatically through use of the Services, from third-party service providers, and from business partners or publicly available sources.
The categories of Personal Information we collect may include account registration information, authentication information, billing and payment information, infrastructure usage information, device and browser information, communications data, support interactions, marketplace activity, and operational telemetry associated with use of the Services.
When users create an account or subscribe to the Services, NexNodo may collect information such as name, company name, billing address, email address, phone number, authentication credentials, tax information, subscription details, and other information necessary to create and maintain an account or provide Services.
Where authentication is performed using third-party providers such as Google, GitHub, GitLab, or other supported authentication providers, NexNodo may receive account identifiers, authentication metadata, OAuth-related information, profile information, or other information made available through those authentication providers. NexNodo does not receive or store passwords associated with third-party authentication providers.
When customers use the Services, NexNodo may automatically collect certain technical and operational information associated with the use of the Platform. This information may include IP addresses, browser type, operating system, device identifiers, API activity, infrastructure utilization metrics, deployment metadata, GPU and compute consumption statistics, Kubernetes cluster activity, network activity, geographic region selections, system logs, service configuration metadata, and related telemetry necessary to provide, secure, maintain, optimize, and improve the Services.
Customers using Marketplace functionality may generate additional operational information relating to application deployments, connector configurations, Marketplace subscriptions, MCP server deployments, Vendor interactions, infrastructure integrations, licensing selections, orchestration events, and related deployment activity.
Where AI-related Services are used, NexNodo may process prompts, inference requests, generated outputs, MCP interactions, automation workflows, AI agent interactions, model usage statistics, and related operational metadata necessary to provide and maintain AI infrastructure functionality. NexNodo does not use proprietary customer prompts, confidential workloads, or customer data to train public foundation models unless explicitly authorized by the customer.
NexNodo may also collect information when individuals contact support, submit inquiries, participate in surveys, request demonstrations, attend events, communicate with NexNodo personnel, or otherwise interact with the Services.
3. Cookies and Tracking Technologies
NexNodo uses cookies, local storage technologies, pixels, analytics tools, session technologies, and similar tracking mechanisms to operate, secure, maintain, personalize, and improve the Services.
These technologies may be used to authenticate users, maintain sessions, remember preferences, monitor infrastructure performance, analyze usage patterns, prevent fraud, support security monitoring, improve functionality, and measure the effectiveness of communications and marketing activities.
NexNodo may also use third-party analytics and infrastructure monitoring providers, including services that collect information regarding interactions with the Services, browser activity, session activity, and usage trends.
Users may control certain cookie preferences through browser settings or other available consent mechanisms. However, disabling certain cookies or tracking technologies may impact the functionality or availability of portions of the Services.

4. How We Use Personal Information
NexNodo processes Personal Information for purposes including providing and operating the Services, authenticating users, provisioning infrastructure resources, managing accounts, processing transactions, operating the Marketplace, maintaining security, detecting abuse or fraud, enforcing agreements, complying with legal obligations, responding to support requests, improving infrastructure reliability, analyzing platform performance, communicating with users, and developing new products and functionality.
Personal Information may also be used to monitor system health, manage infrastructure utilization, improve orchestration capabilities, support AI infrastructure operations, optimize Marketplace functionality, investigate security incidents, and maintain operational integrity across the Platform.
Where permitted by law, NexNodo may use Personal Information to communicate with customers regarding product announcements, platform updates, feature releases, billing notices, infrastructure notifications, support communications, security alerts, service changes, events, educational content, or marketing communications relating to the Services.
NexNodo may additionally use aggregated, anonymized, or de-identified information for operational analytics, research, infrastructure optimization, platform development, abuse prevention, AI infrastructure optimization, benchmarking, reporting, and business intelligence purposes.
5. Legal Bases for Processing
Where required under applicable law, NexNodo processes Personal Information pursuant to one or more legally recognized bases for processing, including contractual necessity, legitimate interests, compliance with legal obligations, fraud prevention, infrastructure security, operational necessity, and consent where applicable.
NexNodo's legitimate interests may include operating and improving the Services, maintaining infrastructure security and reliability, preventing abuse, supporting customers, developing new functionality, enforcing agreements, protecting NexNodo's rights and property, and conducting ordinary business operations in a responsible and commercially reasonable manner.
6. How We Share Information
NexNodo may share Personal Information with service providers, subprocessors, infrastructure providers, marketplace vendors, payment processors, analytics providers, security providers, support systems, and other third parties necessary to operate and provide the Services.
Such third parties may include payment processing providers such as Stripe, cloud infrastructure providers, infrastructure monitoring providers, customer support systems, authentication providers, fraud prevention providers, communication providers, analytics systems, and operational tooling providers.
Where customers provision infrastructure resources through independent infrastructure providers or deploy applications through the Marketplace, NexNodo may share operational information necessary to provision infrastructure, allocate resources, provide support, maintain security, validate subscriptions, enable deployments, process transactions, or facilitate Marketplace functionality.
NexNodo may disclose Personal Information where required to comply with applicable laws, regulations, subpoenas, court orders, governmental requests, export compliance obligations, sanctions programs, law enforcement investigations, or other legal processes.
NexNodo may also disclose information where reasonably necessary to protect the rights, property, operations, infrastructure, personnel, customers, partners, vendors, or security of NexNodo or others, including in connection with fraud prevention, abuse investigations, infrastructure misuse, cybersecurity incidents, intellectual property disputes, or violations of applicable agreements.
In the event of a merger, acquisition, restructuring, financing transaction, sale of assets, bankruptcy proceeding, or similar corporate transaction, Personal Information may be transferred as part of the applicable transaction subject to applicable legal requirements.
7. Customer Workloads and Hosted Content
Customers retain ownership and responsibility for Customer Workloads, hosted applications, prompts, datasets, containers, clusters, databases, AI models, generated outputs, and other content processed through infrastructure provisioned using the Services.
NexNodo generally processes Customer Workloads solely for purposes necessary to provide the Services, including infrastructure orchestration, deployment management, infrastructure monitoring, security operations, system maintenance, operational support, and customer-requested functionality.
Customers are responsible for ensuring that they possess all necessary rights, authorizations, permissions, and legal bases required to process data through the Services and remain solely responsible for compliance with applicable privacy, AI, export control, cybersecurity, and data protection laws relating to their workloads and content.
8. AI Services
Certain Services may include AI-related infrastructure, inference systems, AI orchestration functionality, AI agents, MCP integrations, automation tooling, and generative AI functionality.
AI-generated outputs may contain inaccuracies, incomplete information, non-unique outputs, biased content, or unintended results. Customers remain solely responsible for evaluating and validating outputs generated through AI-related Services and for ensuring lawful and appropriate use of AI systems deployed through the Platform.
NexNodo may process operational telemetry and metadata associated with AI Services for purposes including infrastructure optimization, abuse prevention, operational monitoring, system reliability, debugging, capacity planning, and security management.
9. Security
NexNodo implements commercially reasonable administrative, technical, organizational, and physical safeguards designed to protect Personal Information and maintain the security, confidentiality, integrity, and availability of the Services.
Such measures may include access controls, encryption technologies, logging systems, monitoring systems, authentication systems, infrastructure isolation mechanisms, vulnerability management practices, incident response procedures, backup systems, and security auditing processes.
However, no security system or infrastructure environment can guarantee absolute security, uninterrupted availability, or complete protection against all threats, vulnerabilities, unauthorized access, or operational failures.

NexNodo retains Personal Information for as long as reasonably necessary to provide the Services, comply with legal obligations, maintain security, resolve disputes, enforce agreements, satisfy tax and accounting obligations, preserve operational integrity, and support legitimate business operations.

NexNodo operates globally and may transfer, process, or store Personal Information in the United States, the European Union, or other jurisdictions where NexNodo, its affiliates, subprocessors, infrastructure providers, or service providers operate.
Where required under applicable law, NexNodo implements commercially reasonable safeguards and legally recognized transfer mechanisms intended to facilitate lawful international transfers of Personal Information, including Standard Contractual Clauses or equivalent transfer mechanisms where applicable.
12. Your Privacy Rights
Depending on applicable law and jurisdiction, individuals may have rights relating to their Personal Information, including rights to access, correct, delete, restrict processing, object to processing, request portability, withdraw consent, or submit complaints to supervisory authorities.

The Services are not intended for use by individuals under the age of 18.
NexNodo does not knowingly collect Personal Information from children or minors.

NexNodo may revise, update, amend, or modify this Privacy Policy from time to time to reflect changes in legal requirements, operational practices, infrastructure architecture, Marketplace functionality, AI-related Services, or business operations.
