Marketplace Terms

These Marketplace Terms (“Marketplace Terms”) govern access to, use of, deployment of, interaction with, and operational participation in the NexNodo Marketplace and associated marketplace functionality available through the NexNodo platform.
These Marketplace Terms form part of and are incorporated into the applicable NexNodo Terms of Service, Cloud Service Agreement, Order Form, Enterprise Agreement, or equivalent customer agreement governing customer use of the NexNodo platform.
Capitalized terms not otherwise defined herein shall have the meanings assigned under the applicable customer agreement.
1. PURPOSE AND MARKETPLACE MODEL
The NexNodo Marketplace provides customers with access to deployment enablement functionality, catalog listings, templates, connectors, MCP servers, open-source applications, infrastructure tooling, integrations, and related marketplace content that may be deployed, configured, provisioned, enabled, or utilized within supported infrastructure environments.
The Parties acknowledge that the NexNodo Marketplace is designed primarily as a deployment enablement and infrastructure orchestration layer and not as a software resale marketplace, managed application hosting service, software licensing reseller, or software publisher platform.
Marketplace content may include, without limitation:
- open-source applications
- third-party software projects
- observability tooling
- databases
- message brokers
- developer tooling
- AI infrastructure tooling
- MCP servers
- connectors
- deployment templates
- configuration packages
- or substantially equivalent marketplace offerings.
Examples may include technologies such as PostgreSQL, Kafka, MongoDB, Grafana, DBeaver, OpenWebUI, Prometheus, and substantially equivalent software projects.
2. MARKETPLACE DEPLOYMENT MODEL
Unless expressly stated otherwise, marketplace deployments are intended to be provisioned into customer-controlled environments, customer infrastructure environments, customer Kubernetes environments, customer cloud resources, or infrastructure resources provisioned through participating infrastructure providers available through the NexNodo ecosystem.
Customers acknowledge that deployment of marketplace content may consume underlying infrastructure resources including, where applicable:
- compute resources
- GPU resources
- storage resources
- Kubernetes resources
- networking resources
- persistent volumes
- or equivalent infrastructure services.
Marketplace deployment functionality itself may be made available without separate software deployment fees unless otherwise expressly stated by NexNodo.
Customers remain responsible for infrastructure charges associated with deployed workloads, running services, provisioned resources, allocated resources, storage consumption, networking consumption, GPU utilization, Kubernetes usage, or equivalent infrastructure consumption attributable to marketplace usage.
Applicable infrastructure consumption charges remain governed by the NexNodo Billing Policy, Refund Policy, applicable pricing terms, and underlying infrastructure service terms.
3. THIRD-PARTY SOFTWARE AND OPEN-SOURCE CONTENT
The NexNodo Marketplace may include software, projects, tooling, connectors, integrations, MCP servers, applications, or related content developed, maintained, owned, licensed, operated, or distributed by independent third parties, open-source communities, software vendors, licensors, maintainers, contributors, or equivalent external parties.
Unless expressly stated otherwise, NexNodo does not claim ownership of third-party software, upstream projects, open-source projects, trademarks, or independently developed marketplace content.
Marketplace content may be governed by:
- open-source licenses
- commercial software licenses
- third-party terms
- community licensing models
- maintainer policies
- vendor licensing frameworks
- or substantially equivalent upstream legal frameworks.
Customers acknowledge that applicable upstream licenses, third-party terms, and software-specific licensing frameworks may independently govern use, modification, redistribution, support, compliance obligations, attribution requirements, source code access rights, or operational restrictions associated with marketplace content.
4. OPEN-SOURCE LICENSE PRECEDENCE
Where marketplace content is distributed, referenced, deployed, enabled, or otherwise made available pursuant to applicable open-source licensing frameworks, the applicable upstream software license shall govern the software itself.
Such licenses may include, without limitation:
- MIT licenses
- Apache licenses
- GPL licenses
- AGPL licenses
- BSD licenses
- MPL licenses
- Elastic licensing frameworks
- community licensing frameworks
- or substantially equivalent software licensing models.
These Marketplace Terms govern customer interaction with the NexNodo platform, marketplace functionality, deployment tooling, catalog access, and associated NexNodo-controlled marketplace operations.
Nothing in these Marketplace Terms modifies, supersedes, replaces, narrows, expands, or overrides legally applicable upstream software licensing obligations.
Additional open-source licensing treatment may be governed by NexNodo’s applicable Open Source Software Policy.
5. MARKETPLACE SUPPORT MODEL
Unless expressly stated otherwise by NexNodo or expressly identified within a specific marketplace listing, NexNodo does not undertake affirmative support, maintenance, patching, troubleshooting, lifecycle management, upgrade management, software maintenance, or operational management obligations relating to marketplace applications, third-party software, connectors, MCP servers, or marketplace content.
Marketplace content may be provided:
- as-is
- as-available
- community-supported
- third-party supported
- vendor supported
- maintainer supported
- or unsupported.
Where NexNodo elects to provide marketplace-related assistance, deployment guidance, or operational support, such assistance may be provided on a commercially reasonable basis and shall not create continuing support obligations unless expressly agreed in writing.
Nothing herein limits NexNodo platform support obligations expressly applicable to NexNodo-controlled platform functionality.
6. NO MARKETPLACE SLA
Unless expressly stated otherwise within an applicable marketplace listing, written agreement, enterprise arrangement, or service description, marketplace content is not subject to NexNodo service availability commitments, uptime guarantees, software guarantees, operational warranties, maintenance commitments, performance guarantees, or service level agreements.
NexNodo Customer SLA commitments generally apply to covered NexNodo-controlled platform services and do not automatically extend to:
- marketplace applications
- third-party software
- MCP servers
- connectors
- customer workloads
- open-source deployments
- customer-managed software environments
- or substantially equivalent marketplace content.
Certain marketplace content may include independent third-party service levels, community support practices, upstream maintainer commitments, or provider-specific commitments; however, NexNodo does not independently guarantee such commitments unless expressly stated otherwise.
7. CUSTOMER RESPONSIBILITIES
Customers remain solely responsible for their use of marketplace content and related deployment activities.
Customer responsibilities may include, where applicable:
- deployment decisions
- configuration management
- credential handling
- secret management
- security configuration
- application lifecycle management
- compliance validation
- data protection compliance
- backup practices
- patching decisions
- software compatibility validation
- operational monitoring
- resource scaling
- cost management
- and management of customer-controlled workloads.
Customers remain responsible for evaluating whether marketplace content is appropriate for their intended operational, regulatory, technical, security, commercial, or business requirements.
8. MCP SERVERS, CONNECTORS, AND EXTERNAL DEPENDENCIES
The NexNodo Marketplace may include MCP servers, connectors, APIs, integrations, external system integrations, authentication integrations, observability integrations, infrastructure integrations, and equivalent external dependency components.
Such components may depend upon:
- third-party APIs
- external services
- independent software providers
- cloud services
- infrastructure providers
- customer credentials
- customer environments
- external software dependencies
- or equivalent operational dependencies outside NexNodo control.
Accordingly, availability, compatibility, behavior, authentication outcomes, performance, operational continuity, feature availability, integration behavior, or functionality associated with connectors, MCP servers, or equivalent integration components may change, degrade, become unavailable, or cease functioning without prior notice.
Unless expressly stated otherwise, NexNodo provides no independent uptime commitment, compatibility guarantee, availability guarantee, or operational warranty relating to such components.
9. MARKETPLACE CONTENT CHANGES, UPDATES, AND REMOVALS
NexNodo reserves the right, in its reasonable discretion, to add, modify, suspend, deprecate, disable, remove, restrict, reclassify, reconfigure, or discontinue marketplace content, marketplace functionality, connectors, MCP servers, templates, integrations, deployment tooling, or related marketplace capabilities.
Marketplace content availability may evolve due to:
- software lifecycle changes
- security concerns
- licensing changes
- maintainer decisions
- third-party vendor actions
- compliance considerations
- technical limitations
- operational requirements
- customer safety considerations
- or equivalent commercial or operational circumstances.
Customers acknowledge that marketplace applications, connectors, integrations, MCP servers, or related offerings may change, lose functionality, become deprecated, become unsupported, become unavailable, or be removed without ongoing availability guarantees.
Unless otherwise expressly agreed in writing, NexNodo does not undertake obligations to maintain perpetual marketplace availability, long-term software compatibility, backward compatibility, version continuity, or permanent catalog inclusion.
10. MARKETPLACE GOVERNANCE AND REVIEW RIGHTS
NexNodo may maintain commercially reasonable marketplace governance practices relating to marketplace content eligibility, deployment safety, operational suitability, licensing treatment, compliance concerns, platform integrity, security posture, or customer experience considerations.
Without limitation, NexNodo may, in its reasonable discretion:
- approve marketplace content
- reject marketplace content
- restrict marketplace content
- flag marketplace content
- remove marketplace content
- disable marketplace content
- limit deployment availability
- modify marketplace presentation
- or implement equivalent marketplace governance measures.
Nothing in these Marketplace Terms obligates NexNodo to publish, maintain, approve, support, distribute, or continue offering any marketplace content.
Marketplace governance criteria may evolve from time to time as the NexNodo platform, marketplace model, regulatory environment, security practices, or operational framework develop.
11. INTELLECTUAL PROPERTY AND BRANDING
Marketplace content may incorporate names, logos, trademarks, service marks, software identifiers, project identifiers, branding assets, package names, repository references, documentation references, or equivalent intellectual property owned or controlled by third parties.
Examples may include technologies such as PostgreSQL, Kafka, MongoDB, Grafana, Prometheus, DBeaver, OpenWebUI, and equivalent software projects.
Unless expressly stated otherwise:
- all third-party trademarks remain the property of their respective owners
- marketplace listing references do not imply sponsorship, endorsement, partnership, certification, affiliation, or ownership by NexNodo
- and software ownership remains governed by the applicable upstream project, maintainer, vendor, licensor, contributor, or rights holder.
NexNodo marketplace presentation, deployment enablement functionality, marketplace tooling, orchestration functionality, platform workflows, and NexNodo-controlled marketplace components remain subject to NexNodo intellectual property rights.
12. SECURITY, COMPLIANCE, AND CUSTOMER VALIDATION
Customers remain responsible for independently evaluating marketplace content for suitability, security posture, licensing compatibility, regulatory compatibility, operational fitness, and business appropriateness.
Customers should evaluate, where applicable:
- licensing requirements
- software maturity
- security practices
- software provenance
- maintainer reputation
- support availability
- compliance implications
- data protection considerations
- export control implications
- operational requirements
- or equivalent technical, legal, security, or business considerations.
Unless expressly stated otherwise, NexNodo does not independently certify, warrant, validate, guarantee, audit, or formally approve marketplace content for customer-specific compliance, legal, regulatory, cybersecurity, privacy, operational, or industry-specific requirements.
13. DISCLAIMERS RELATING TO MARKETPLACE CONTENT
To the maximum extent permitted under applicable law, marketplace content, third-party software, connectors, MCP servers, deployment templates, integrations, deployment tooling, and related marketplace functionality are made available on an “AS IS” and “AS AVAILABLE” basis.
Without limitation, NexNodo disclaims warranties, guarantees, representations, commitments, or assurances regarding:
- software quality
- software security
- software fitness
- software compatibility
- operational continuity
- merchantability
- non-infringement
- performance
- availability
- deployment outcomes
- customer business outcomes
- community support continuity
- or substantially equivalent matters relating to marketplace content.
NexNodo does not guarantee that marketplace content will remain available, error-free, secure, compatible, uninterrupted, supported, maintained, or suitable for customer-specific use cases.
14. LIMITATION OF MARKETPLACE RESPONSIBILITY
To the maximum extent permitted by applicable law, NexNodo shall not be responsible for losses, damages, operational disruption, security events, software defects, software vulnerabilities, licensing disputes, deployment failures, incompatibilities, software behavior, third-party actions, maintainer actions, community decisions, connector failures, MCP failures, API failures, customer deployment outcomes, or equivalent consequences arising from marketplace content.
Without limitation, NexNodo shall not be responsible for:
- customer workload failures
- customer software behavior
- third-party software defects
- open-source vulnerabilities
- vendor decisions
- community project changes
- external dependency failures
- customer configuration issues
- customer misuse
- customer compliance failures
- or equivalent marketplace-related operational outcomes.
Nothing herein limits obligations expressly undertaken by NexNodo under applicable written agreements relating solely to NexNodo-controlled platform functionality.
15. TERMINATION OF MARKETPLACE ACCESS
Marketplace access, deployment rights, marketplace visibility, marketplace functionality, connector access, MCP functionality, or related marketplace capabilities may be suspended, restricted, or terminated in accordance with the applicable customer agreement, Acceptable Use Policy, security requirements, legal obligations, operational considerations, payment status, sanctions restrictions, or equivalent NexNodo platform governance frameworks.
Upon termination, suspension, expiration, or marketplace removal events, customer responsibilities relating to deployed workloads, allocated infrastructure resources, data handling, infrastructure consumption, software obligations, licensing obligations, and operational responsibilities may continue to apply as appropriate.
Infrastructure billing treatment remains governed by the applicable Billing Policy, Refund Policy, pricing framework, and underlying customer agreement.
16. RELATIONSHIP TO OTHER NEXNODO DOCUMENTS
These Marketplace Terms operate together with the applicable NexNodo legal framework, including, where applicable:
- Terms of Service
- Billing Policy
- Refund Policy
- Customer Service Level Agreement
- Acceptable Use Policy
- AI Acceptable Use Policy
- Security Policy
- Open Source Software Policy
- Third-Party Application Terms
- MCP / Connector Publishing Terms
- or equivalent NexNodo policies.
To the extent of direct conflict between applicable upstream software licenses and these Marketplace Terms regarding software licensing treatment, the applicable upstream software license shall govern the software itself.
Except as expressly modified herein, the applicable customer agreement shall remain in full force and effect.
17. MARKETPLACE TERMS MODIFICATIONS
NexNodo may modify these Marketplace Terms from time to time.
Material modifications may become effective upon publication, customer notification, platform publication, marketplace publication, or equivalent commercially reasonable notice mechanisms implemented by NexNodo.
Continued use of the NexNodo Marketplace following policy effectiveness constitutes acceptance of the revised Marketplace Terms to the extent permitted under the applicable customer agreement.
